In ottemperanza alle prescrizioni del Decreto 231/2001, il Consiglio di Amministrazione di Eni nomina l’Organismo di Vigilanza, in composizione collegiale, con il ruolo di vigilare sull'effettività del Modello 231 di Eni (“Modello 231”) e di valutarne l'adeguatezza.

La composizione dell’Organismo di Vigilanza di Eni e le biografie dei singoli componenti.
Il Consiglio di Amministrazione, su proposta dell'Amministratore Delegato d'intesa con il Presidente, sentito il Comitato per le Nomine e, per i componenti esterni, con il parere del Collegio Sindacale, determina la composizione dell’Organismo di Vigilanza, nomina i suoi componenti e il Presidente, scelto tra i componenti esterni, e ne stabilisce i compensi.
L’Organismo di Vigilanza di Eni è composto attualmente da 5 componenti, la maggioranza dei quali non appartenenti alle strutture aziendali. I componenti esterni sono individuati tra professionisti di comprovata competenza ed esperienza nelle tematiche di economia, organizzazione e sistemi di controllo interno e responsabilità amministrativa di impresa.
La durata in carica dell’Organismo di Vigilanza coincide con quella del Consiglio di Amministrazione che lo ha nominato e il mandato scade alla data dell’Assemblea dei soci convocata per l’approvazione del bilancio relativo all’ultimo esercizio di competenza del Consiglio di Amministrazione che lo ha nominato, pur continuando a svolgere ad interim le proprie funzioni fino a nuova nomina dei componenti dell’Organismo di Vigilanza. I componenti esterni sono rieleggibili per non più di tre mandati consecutivi.
I compiti dell’Organismo di Vigilanza sono così definiti:
vigilanza sull’effettività del Modello 231 e monitoraggio delle attività di attuazione e aggiornamento dello stesso;
disamina dell’adeguatezza del Modello 231, ossia della sua reale (e non meramente formale) capacità di prevenire comportamenti illeciti ai sensi del Decreto 231/2001;
analisi circa il mantenimento, nel tempo, dei requisiti di efficacia del Modello 231;
segnalazione alla Società circa l’opportunità di aggiornare il Modello 231, laddove si riscontrino esigenze di adeguamento in relazione a mutate condizioni aziendali e/o normative.
Nello svolgimento di dette attività, l’Organismo di Vigilanza provvederà ai seguenti adempimenti:
approvazione del Programma di Vigilanza, in coerenza con i principi e i contenuti del Modello 231 e in coordinamento con il piano di audit definito dall’Internal Audit; coordinamento dell’attuazione del Programma di Vigilanza e dell’attuazione degli interventi di controllo programmati e non programmati;
effettuazione di eventuali verifiche mirate su determinate procedure/processi, operazioni o su atti specifici, posti in essere nell’ambito delle aree di attività aziendale individuate a potenziale rischio di reato, anche con il supporto delle funzioni aziendali;
cura dei flussi informativi di competenza con le funzioni aziendali;
verifica delle iniziative per la diffusione della conoscenza e della comprensione del Modello 231 per i destinatari, nonché per la formazione del personale e la sensibilizzazione dello stesso all’osservanza dei principi contenuti nel Modello;
ogni altro compito attribuito dal D.Lgs. 231/2001 o dal Modello 231.
