Eni S.p.A. intends to make available transportation capacity on the Trans Tunisian and Transmediterranean pipeline systems (“South Med Pipeline System‘) from 01/12/2013, 08:00 a.m. GMT to 01/10/2014, 08:00 a.m. GMT through a non-discriminatory and transparent single-round auction according to the pay-as-bid rule, provided the bid fee offered is equal or higher than the reserve price set by eni.During the period from 1st December 2013 to 30th September 2014 the winning bidder, upon the upfront payment of a fee, acquires the right of activating on a monthly basis its awarded lots paying the monthly price only for said month(s).
The capacity will be offered through a monthly callable subletting product and shall be allocated among the interested operator(s) by means of auctions in accordance with the terms and conditions set forth in the Auction Procedure attached hereto.
This product shall also include the acceptance by the winning bidder of the transfer by eni S.p.A. to the winning bidder (or to any other subject indicated by the winning bidder) of Snam Rete Gas’s entry capacity at Mazara del Vallo entry point, for a quantity corresponding to winning bidder’s awarded lots, for the month(s) when such awarded lots are activated by the winning bidder (see Article 3.7 of the Subletting Agreement for more details). This entry capacity shall be paid by the winning bidder (or by any other subject indicated by the winning bidder) directly to Snam Rete Gas.
The capacity will be offered on firm basis. The number of available lots is 1341.
Please note that the possibility to activate the monthly subletting is subject to the winning bidder having previously:
- acquired the Tunisian State approval regarding 1) the fiscal arrangements - included but not limited to the amount to be off-taken by the operator of Trans Tunisian pipeline system (“TTPC Operator‘) in such respect, if any, on behalf of the Tunisian State - to which the winning bidder is subject in relation to the monthly callable subletting contract and 2) any other authorization required in relation thereto (including but not limited to the authorization to transit);
- adhered to and signed the “Protocole d’Accord‘ regarding the allocation of the total measured quantity of gas at the measurement station owned by SONATRACH and located in Algeria, very near to the Algerian – Tunisian border, to be entered into by SONATRACH and all buyers of Algerian gas delivered or to be made delivered for transportation on the Trans Tunisian pipeline system.
In addition, please note that it is full responsibility of the winning bidder to ensure it has any authorization, approval, license, agreement, procedure or documentation necessary to allow the transportation of gas along the South Med Pipeline System and the Snam Rete Gas’s entry point at Mazara del Vallo.

Please note that the deadline for submitting the complete Documentation as per Article 7 of the Auction Procedure is 28th October 2013 at 4.00 p.m. The Documentation consists in a notarized Application Form, a Bid Bond and a Declaration in accordance with the Auction Procedure.
Please note that only the companies which do not have any unpaid pending debts toward eni S.p.A. for amounts in excess of Euro 250.000,00 (two hundred and fifty thousand/00) resulting unpaid upon expiry of 30 days after the established due payment date, are entitled to participate to the auction and that only one company of the same corporate group will be entitled to participate to the auction.
